LEGAL NEGATIVE KEYWORD LICENSE AGREEMENT


PLEASE READ THE FOLLOWING INFORMATION CAREFULLY:

YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THIS PRODUCT. BY CLICKING THE ACCEPTANCE BUTTON, DOWNLOADING AND OPENING YOUR PERSONAL INJURY NEGATIVE KEYWORD PASSWORD PROTECTED DATABASE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT.

For the purposes of this Agreement, “you” means you, the end user, and the “Licensor” means Legal Help Centers Corp., and its subsidiaries and affiliates. 


1. License Grant 

Licensor hereby grants to you a non-exclusive and non-transferable license to use our Personal Injury Negative Keyword Database List and related documentation solely for the intended purposes of the Negative Keyword Database List as set forth in the Documentation, according to the provisions contained herein and subject to payment of applicable license fees. You are not permitted to lease, rent, distribute, or sublicense the Negative Keyword Database List or any rights therein. This Agreement does not grant you any rights with Negative Keyword Database List to patents, copyrights, trade secrets, trademarks, or any other rights in the Documentation. This Agreement does not entitle you to receive any upgrades to or newer versions of our Negative Keyword Database Lists. 


Subject to the payment of the license fees and charge to Licensor, Licensor grants to you a limited, non-exclusive, non-transferable license to use a single copy of our Negative Keyword Database List. You agree that you have no right, power or authority to make any modifications to or unauthorized copies of our Negative Keyword Database Lists.


2. Limitations of Liability

Although the Licensor makes reasonable efforts to keep the content of our Negative Keyword Database Lists up to date, please understand that PPC keyword algorithms are constantly changing as search engines are moving toward a more automated machine learning SYSTEM, and laws, and information changes quickly and may not be fully reflected on this Negative Keyword Database Lists without delay.  Therefore, our Negative Keyword Database Lists is sold as is. 


3. No Assignment; No Transfer

You agree not to transfer or assign the Negative Keyword Database Lists and/or this Agreement to another party without the prior written consent of Licensor, which consent shall be at Licensor’s sole discretion. You may not transfer or assign the Negative Keyword Database Lists or rights under this Agreement. 


4. No Modification, or Create Derivative works

You agree not to modify, or create derivative works of the Negative Keyword Database Lists or assist in performing such prohibited acts. 


5. Title

This is a license agreement and not an agreement for sale. Licensor retains ownership of and copyrights in the copy of the Negative Keyword Database Lists and Documentation delivered to you and in all copies thereof that you may be licensed to make under this Agreement. The Negative Keyword Database Lists are protected by U.S. copyright laws and other intellectual property laws and international treaty provisions. Licensor retains all rights not expressly granted to you in this Agreement. 


6. Terms and Termination

This license will be perpetual from the date that you first use the Negative Keyword Database List. You may terminate this license at any time by destroying the Negative Keyword Database Lists together with all copies and merged portions in any form. You agree that you will not be entitled a refund of any application license fee upon termination of this Agreement. 


7. Refund Policy 

Due to the nature of our Negative Keyword Database Lists all sales are final and non-refundable. By processing your order and submitting your contact information, you are entering into a binding purchase contract. This is done to protect the integrity of our Negative Keyword Database Lists from fraudulent activity. The Negative Keyword Database Lists is sold as is without warranties or guarantees.  You authorize the Licensor, to charge you in full for any products purchased from the Legalkeywordmarketing.com and its affiliate sites. You further affirm that the name and personal information provided on this form are true and correct. You further declare that you have read, understand, and accept the business terms from Licensor as published in the Negative Keyword Database Lists. By placing an order from Licensor, you agree to pay Licensor in full. Licensor is not responsible for what you are doing with the Negative Keyword Database Lists. 


8. Governing Law

This Agreement shall be governed by, subject to, and construed in accordance with, the substantive laws of the State of California, without regard to its conflict of laws provisions. In an action arising out of or relating to this Agreement, you consent to the exclusive jurisdiction of the federal and state courts located in County of Ventura County, State of California. The prevailing party in any such action shall be entitled to recover its reasonable attorneys’ fees and costs incurred in litigating or otherwise settling or resolving such action. YOU FURTHER AGREE, TO THE EXTENT PERMITTED BY APPLICABLE LAW, TO WAIVE ANY RIGHT TO TRIAL WITH RESPECT TO ANY CLAIM, COUNTERCLAIM OR ACTION ARISING FROM THE TERMS OF THIS AGREEMENT.

 

9. No Warranties; Limitation of Liability

LICENSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS. THE NEGATIVE KEYWORD DATABASE LISTS IS PROVIDED TO YOU ON AN “AS IS” BASIS. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THIS NEGATIVE KEYWORD DATABASE LIST REMAINS WITH YOU.

Licensor makes no warranties, representations or claims of any kind with respect to any of the information on this website, including the accuracy, completeness and suitability for any purposes of this information. Under no circumstance shall Licensor, or any of its partners, associates, consultants or agents involved in the creation or delivery of the material on this website, be liable to you or anyone else as a result of damages from your access or use of material on our Negative Keyword Database Lists. 


10. Limitations of Remedies

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY SHALL LICENSOR, OR ITS SUPPLIERS OR RESELLERS, BE LIABLE TO YOU OR ANY OTHER PERSON FOR DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, BUSINESS INTERRUPTIONS, WORK STOPPAGE, OR ANY AND ALL OTHER PERSONAL OR COMMERCIAL DAMAGES OF LOSSES ARISING FROM THE USE OR INABILITY TO USE THE NEGATIVE KEYWORD DATABASE LISTS. IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY DAMAGES OR FOR ANY CLAIM BY ANY OTHER PARTY. IN NO EVENT SHALL LICENSOR’S LIABILITY EXCEED THE PURCHASE PRICE PAID BY YOU FOR THE NEGATIVE KEYWORD DATABASE LSIT.


11. Indemnification

You agree to defend, indemnify and hold harmless Licensor, its suppliers and its resellers from and against liabilities, costs, damages and expenses (including settlement costs and reasonable attorney’s fees) arising from any claims from anybody that result from or relate to your use, reproduction or distribution of the Negative Keyword Database Lists, or your breach of any representation, warranty or obligation under this Agreement. 


12. Severability

In the event any provision of this Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not in any way be affected or impaired. 


13. Entire Agreement

You further agree that this Agreement is the complete and exclusive statement of the agreement between you and Licensor which supersedes all proposals or prior agreements, oral or written, and all other communication between you and Licensor relating to the subject matter of this agreement. This Agreement may only be modified by a written agreement signed by both you and an authorized representative of Licensor. 


14. Acknowledgement 

BY DOWNLOADING AND OPENING YOUR PERSONAL INJURY NEGATIVE KEYWORD PASSWORD PROTECTED DATABASE LIST, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT. you indicate that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
